01. Acceptance of Terms

By accessing the Infinity Business Dynamics ("IBD") website, client portal, Motheo POS platform or engaging our services, you agree to be bound by these Terms and Conditions and applicable laws of the Kingdom of Lesotho.

02. Scope of Services

IBD provides ICT solutions, Motheo POS and business management software, Lekuka e-Invoicing compliance, ERP integration, managed services, data analytics, accounting, training and business transformation advisory. Specific scopes are defined in your proposal, statement of work or service agreement.

03. Client Responsibilities

  • Provide accurate, complete and timely business and billing information.
  • Ensure authorised users comply with platform licence and access terms.
  • Respond to requests for documentation, approvals and UAT within agreed timelines.
  • Maintain compliance with Revenue Services Lesotho and applicable tax regulations.

04. Fees & Payment

Professional fees, licence fees and third-party disbursements are agreed in advance. Where not specified, IBD standard rates apply. Invoices are payable within 14 days unless otherwise agreed in writing.

05. Refunds

Third-party licence fees, statutory disbursements and cloud provider charges are non-refundable once paid. Professional fees are refundable only to the extent of work not yet performed and as outlined in your service agreement.

06. Limitation of Liability

IBD's liability for any claim arising out of or in connection with the services is limited to the fees paid for the relevant engagement. Regulatory outcomes, third-party platform availability and client-side configuration remain subject to factors outside IBD's direct control.

07. Intellectual Property

All content, code, templates, Motheo POS software, documentation and trademarks on the IBD website and portal are owned by IBD or its licensors and protected under applicable law. Unauthorised reproduction is prohibited.

08. Force Majeure

IBD is not liable for delays or failures caused by events beyond our reasonable control, including changes in law, regulator action, connectivity outages, cloud provider incidents or public emergencies.

09. Governing Law

These Terms are governed by the laws of the Kingdom of Lesotho. Any dispute will be subject to the exclusive jurisdiction of Lesotho courts, unless otherwise agreed in a signed service agreement.
